  • Leveraged Finance


  • Merchant Banking:
    Merchant Banking Group (MBG) is a one-stop provider of capital for leveraged buyouts, strategic acquisitions, leveraged buildups, growth financings, recapitalizations, and refinancings. The group engineers complex and creative capital structures by underwriting senior, mezzanine and high yield debt (and associated bridge loans on a case-by-case basis). Since 1991, MBG has structured debt financings totaling in excess of $45 billion for some 250 transactions. In the U.S., the group's clients number over 50 LBO sponsors, generally with a minimum of $1 billion in assets under management. It targets both purely U.S. and cross-border deals. MBG ranked 9th among lead arrangers of senior debt for sponsored leveraged deals in 2002.


  • Structured Media and Telecom :
    The department is focused on arranging debt financing - senior, mezzanine, high yield, asset securitization - supporting merger and acquisition buyout, and recapitalization transactions for companies in the publishing, broadcasting, cable, satellite, tower and wireless sectors.


  • Healthcare and CCRC Banking:
    Covering established and emerging sectors alike - hospitals, hospice, GPOs, re-hastrong> specialty pharmaceuticals, clinical laboratories, CCRCs (Continuing Care Retirement Communities), assisted - living " the department structures debt financings for growth capital, recapitalizations and buyout transactions. After 3 quarters of activity in 2003, it ranked 10th among lead arrangers of debt deals.1
    BNP Paribas's CCRC department is a long-standing market leader, having arranged over $2.5 billion in financings since 1988. In 2003 it arranged and placed the largest debt deal ever in the CCRC market, for $300 million, supporting the largest "for-profit" project, located in Palo Alto, California.


  • Acquisition Finance & Loan Structuring (AFLS) :
    Acquisition Finance and Loan Structuring's primary mission is to engineer the loan product in order to maximize structure and pricing. In doing so, AFLS assists BNP Paribas' coverage division (CFI) in winning lead mandates and expanding key relationships through innovative loan structuring ideas and execution capabilities.
    AFLS also serves as a product line and is responsible for all corporate-related acquisition financings, including European and Asian cross-border transactions. The group intervenes on major restructurings affecting BNP Paribas' key North American clients.
    AFLS has the responsibility of overseeing and managing the North American corporate portfolio and is directly involved with CFI in the decision-making process for renewals / increases of corporate facilities for accounts that supercede a given threshold.
    AFLS is comprised of 15 highly specialized professionals in structuring and portfolio management.


  • Syndication, Trading & Placement :
    Syndication, Trading & Placement manages primary and secondary bank debt underwriting and distribution activities in the U.S., Canada, and Latin America. In addition, the group is responsible for mezzanine and private equity placement activities in the Americas. The group also works closely with originating groups to assist in the marketing and winning of new mandates.


  • Private Capital Group :
    The Private Capital Group is the private equity investment arm of BNP Paribas in North America. The group invests equity capital or equity and mezzanine capital in middle-market companies, most often to help finance a structured transaction or to fund the growth of a profitable company through a strategic acquisition or expansion. We seek opportunities to deploy capital as a minority investor or sponsor, backing proven management teams. We have invested in approximately 85 companies since 1991 and have achieved a 55.5% IRR on our 49 realized investments through June 30, 2003.


  • Optimization Finance:
    Optimization Finance provides innovative solutions to tax accounting, financial and regulatory problems of multinational corporations and financial institutions (whether or not U.S.-based). The New York-based staff has a proven track record in developing and implementing cutting-edge structures for U.S. and foreign multinationals. They are part of a global team with counterparts in London, Paris, Singapore and Sydney. Optimization Finance - New York is the entry point for U.S. clients to access BNP Paribas' worldwide tax accounting and regulatory expertise. Optimization Finance - New York is comprised of bankers with significant experience and proven success in advising clients and acting as arrangers, underwriters and investors.

  • Capstar Partners LLC:
    Capstar Partners engages in structuring, placing and closing U.S. tax leases, and is also active in French and U.K tax leases under the Capstar Partners Paris and Capstar London offices. Capstar Partners advises clients, primarily lessees under U.S., U.K. and French tax leases in order to minimize the after-tax cost of asset acquisition. Areas of activity within the U.S. include Domestic Corporates, Municipalities, Power, European Multinationals, Media and Telecom, and Energy. BNP Paribas tax-lease activities under the Capstar Partners name are conducted in the U.S. by a staff of 35 New York-based personnel.
